SOFTWARE LICENSE AGREEMENT SOFTWARE LICENSE AGREEMENT This is a legal agreement between you and Kenwood Corporation("the Licensor"),which owns the copyright or the right to sublicense on this software ("the Licensed Software"),stipulating the terms and conditions regarding your use of the Licensed Software. Upon your acceptance of the terms and conditions set forth in this License Agreement,you are permitted to use the Licensed Software. This Agreement shall be deemed to have come into force at the time you("the User") install the Licensed Software or begin to use of the Licensed Software. Article 1(General Rules) The Licensor grants the User a non-exclusive license to use the Licensed Software, and such license shall be unassignable except as provided for in the first paragraph of Article 3. Article 2(License) 1.The right to use the Licensed Software which comes into being through execution of this Agreement is the right of the User to use the Licensed Software only in a specific single personal computer ("the Specific PC"). 2.The User shall not copy, reproduce, revise, make additions to or otherwise modify a part or the whole of the Licensed Software and related documentation. 3.The Licensed Software shall be used solely for personal purposes, and shall not be distributed for any purpose whatsoever, whether commercial or non-commercial. 4.The User shall use the Licensed Software in accordance with the owner's manual attached thereto or the instructions given in the help file, and shall not use any portion of the Licensed Software for the purpose of using or copying information in contravention of the Copyright Act and other applicable laws. The User is not permitted to authorize any third party other than the User to use the Licensed Software through network connection to the Specific PC. Article 3(License Terms) 1.The User may assign the right of using the Licensed Software under the condition that in the case of the User assigning the Licensed Software to a third party, the right to use the Licensed Software (including relevant documentation, and updates or upgrades) may be transferred on condition that the original version, any copies thereof or related documentation is not left, or that the assignee is made subject to the terms and conditions described in this Agreement. 2.The User shall not export or transfer the Licensed Software, related documentation and other material to other countries. 3.The User shall not disassemble, decompile or otherwise analyze the source code with respect to the Licensed Software. Article 4(Rights to Licensed Software) Copyright and any other rights of the Licensed Software and related documentation are owned by the Licensor or the original rights owner who has granted the Licensor the right to use or sublicense the Licensed Software and related documentation ("the Original Rights Owner"),and the User does not acquire any rights with respect to the Licensed Software and related documentation other than those granted under this Agreement. Article 5(Non-warranty) 1.The Licensor and the Original Rights Owner shall not be liable for any damages or loss incurred by the User or any third party resulting from the use of the Licensed Software granted hereunder,to the extent however that this exemption from liability is not limited by applicable laws. 2.The Licensor hereby disclaims any implied warranty in respect of the Licensed Software's merchantability,compatibility or fitness for any specific purpose. Article 6(Indemnity) If any dispute arises from the use of the Licensed Software by the User because of alleged infringement of copyright, patent and other intellectual property rights of any third parties,the User shall settle such dispute at its own expense and liability,and shall indemnify and hold the Licensor and the Original Rights Owner harmless. Article 7(Confidentiality) The User shall treat as confidential the Licensed Software, related documentation and other information as well as the contents of this Agreement which are not publicly known and shall not disclose or divulge such confidential information to any third party without the prior approval of the Licensor in writting. Article 8(Termination) The Licensor may terminate forthwith this Agreement if the User falls under any of the following items, and the Licensor may demand from the User compensation for any damages resulting from such termination. (1)If the User is in breach of any provisions of this Agreement; (2)If the User is subjected to a motion for attachment, provisional attachment,provisional disposition or other compulsory execution. Article 9(Destruction of the Licensed Software) If this Agreement is terminated in accordance with the provision of the preceding Article, the User shall destroy the Licensed Software,related documentation and copies or reproductions thereof within two weeks after such termination, and shall provide the Licensor with written certification of such destruction. Article 10(Protection of Copyright) The User shall comply with the Copyright Act and other applicable laws in using the Licensed Software. Article 11(Miscellaneous) 1.If any provision of this Agreement becomes invalid by law, this shall not affect the validity of the remaining provisions hereof, which will continue in full force and effect. 2.Matters not provided for in this Agreement, or any question arising from the performance of this Agreement shall be discussed between the Licensor and the User in good faith and amicably resolved. 3.The Licensor and the User agree that this Agreement shall be governed by and construed in accordance with the laws of Japan, and any dispute arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court of first instance.
